These Terms and Conditions govern the use of quality-advisors.com and any services provided through the website. By accessing the site or engaging our services, you agree to comply with these terms.

Definitions

For the purposes of these Terms:

  • Agreement – The written contract, proposal, or related documents defining the scope and terms of services.
  • Client Content – Materials provided by the client for use in a Project, including text, images, data, or other content.
  • Deliverables – The work products described in the Agreement.
  • Company Tools – Internal tools, templates, software, frameworks, and resources used to provide Services.
  • Final Deliverables – The completed output delivered to the client as defined in the Agreement.
  • Project – The specific engagement or assignment agreed between the parties.
  • Services – Advisory, consulting, or related services provided by quality-advisors.com.
  • Third-Party Materials – Content, services, or products owned by external providers.

Service Delivery Standards

Services are delivered in accordance with the milestones and timelines specified in the Agreement. We apply professional judgment and commercially reasonable efforts in performing our obligations.

Proposal and Scope Validity

Proposals remain valid for thirty (30) days from issuance. If not accepted within that period, we may revise and resubmit them.

Fees, Expenses, and Taxes

Unless explicitly included in the Agreement:

  • Third-party costs are billed separately.
  • Approved expenses may be invoiced at cost.
  • Clients are responsible for paying applicable taxes related to the Services.

Payment Conditions

Invoices are payable within five (5) days of issuance unless otherwise agreed in writing. Payment schedules may follow milestone-based arrangements outlined in the Agreement.

Modifications to Scope

All requests for changes must be submitted in writing.

Minor adjustments that do not significantly impact cost or timeline may be incorporated within the existing Agreement. Significant changes affecting scope, schedule, or budget require a new or supplemental written agreement.

Revised proposals related to scope changes remain open for acceptance for fourteen (14) working days unless stated otherwise.

Delays and Force Majeure

If delays result from the client’s failure to provide necessary materials, approvals, or instructions, timelines will be extended accordingly.

If delays occur on our side, we will inform the client promptly and take reasonable steps to reduce impact.

Events beyond either party’s reasonable control may extend timelines and will not be considered a breach.

Review and Acceptance Procedure

We conduct internal reviews before delivering work.

The client has seven (7) working days to review Deliverables and provide written feedback. Identified issues within the agreed scope will be addressed within a reasonable timeframe.

If no feedback is received within the review period, the Deliverables may be considered accepted.

Client Obligations

Clients must provide lawful, accurate, and ready-to-use materials necessary for the Project.

Unless otherwise agreed, the client is responsible for final proofreading and verification of content. Timely decisions regarding third-party services are also required.

Attribution and Portfolio Rights

Unless agreed otherwise in writing, we may include a discreet attribution in completed digital work and reference Projects in our portfolio or promotional materials in a factual manner.

Neither party shall unreasonably object to accurate references to completed work.

Confidentiality Commitments

Both parties agree to protect confidential information exchanged during the Project. This does not apply to information that is publicly available or lawfully obtained from other sources.

Confidential information will not be disclosed to third parties except as necessary to perform Services or where required by law.

Independent Contractor Relationship

quality-advisors.com operates as an independent contractor. These Terms do not create a partnership, joint venture, employment relationship, or exclusivity unless expressly agreed in writing.

We may engage subcontractors where appropriate while retaining responsibility for Services provided.

Limitation of Liability

To the extent permitted by applicable law, Services are provided “as is.” Our total liability in connection with any claim is limited to the amount paid for the specific Services giving rise to that claim.

Intellectual Property and Usage Rights

Upon full payment, the client receives a non-exclusive, perpetual, worldwide license to use the Final Deliverables as agreed.

Company Tools and proprietary methodologies remain the property of quality-advisors.com unless explicitly transferred in writing. Restrictions on modification or derivative works may apply where specified in the Agreement.

Support and Maintenance

Ongoing support is provided only if expressly agreed. Such services may be billed separately.

Any warranty may become void if Deliverables are altered by third parties without our involvement.

Revisions to These Terms

We may update these Terms and Conditions from time to time. The version published on quality-advisors.com governs current use. Continued use of the website or Services indicates acceptance of the revised Terms.
